Company Background

Silver Bow Mining Corp. (NYSE American: SBMT) is a pre-revenue mineral exploration company focused on the Rainbow Block Silver-Zinc Project in Montana's Butte Mining District. Its flagship asset hosts an inferred resource of 11.48 million tons containing 49.2 million ounces of silver, approximately 554,000 ounces of gold, over 1.0 billion pounds of zinc, and 287 million pounds of lead, according to an estimate effective December 31, 2024. The company had no operating cash flow at the time of its IPO and its FY2025 audit carried a going-concern modification from its then-auditor, Assure CPA, LLC.

Silver Bow raised approximately $54.6M in net proceeds from a May 1, 2026 IPO of 5,200,000 common shares, with Cantor Fitzgerald & Co. as lead book-runner. Within four months of that offering, the company entered into a complex acquisition agreement and began deploying the bulk of its newly raised capital. A 25,000-foot surface drill campaign at Rainbow Block was initiated in June 2026 and remains ongoing.

What Was Disclosed

A U.S. Bankruptcy Court for the District of Montana approved the sale of assets from Montana Tunnels Mining, Inc. (MTMI) to Silver Bow and its subsidiary Silver Bow Tunnels Corp. on September 4, 2026. The assets — collectively called the Jefferson County Metallurgical Complex and comprising the Montana Tunnels Mine and Diamond Hill Mill — are being acquired through a Chapter 11 Section 363 process; MTMI filed for bankruptcy protection on July 27, 2026. At the initial closing, Silver Bow released approximately $28.58M from an escrow account to satisfy creditors: roughly $4.27M to Jefferson County, Montana, and approximately $20.78M to the Montana Department of Environmental Quality, with any excess released to Montana Goldfields, Inc. (MTGF), MTMI's parent and the deal counterparty.
