Company Background

BNB Standard Corporation — until September 29, 2026 called CEA Industries Inc. — began its corporate life as a cannabis-cultivation equipment business. In August 2025 it closed a $500 million private placement, accumulated 515,544 BNB tokens at an average cost of roughly $851 per token, and rebranded under the Nasdaq ticker "BNC." The company's stated ambition is to be the world's largest public-company treasury of the BNB digital asset.

The pivot generated immediate governance turbulence. Within weeks of the PIPE closing, Nasdaq issued a public reprimand for completing a change-of-control issuance without the required shareholder vote. In December 2025, investor YZi Labs — which participated in the original $500 million placement — filed a preliminary consent statement seeking to reconstitute the board, prompting the company to adopt a poison pill and defensive bylaw amendments in the same week. A months-long proxy contest followed before ending in a cooperation agreement signed June 23, 2026, under which three YZi Labs nominees joined the board and YZi Labs terminated its solicitation.

As of the quarter ended July 31, 2026, the company held 515,544 BNB tokens with a fair value of $302.3 million, ended the period with $7.1 million in cash and $16.8 million in debt outstanding under a BitGo master loan facility. A net loss of $11.4 million for that quarter was driven primarily by a $15.3 million unrealized loss on digital assets. The company has no permanent CEO — CFO William B. Miller also holds the title of Interim Principal Executive Officer — and a CEO search committee formed June 29, 2026 remains active.

What Was Disclosed

The corporate name change to BNB Standard Corporation took effect at 12:01 a.m. Pacific Time on September 29, 2026, via a Certificate of Amendment filed with the Nevada Secretary of State on September 21, 2026. Under Section 78.390(8) of the Nevada Revised Statutes, the change did not require a stockholder vote. The common stock continues trading on Nasdaq under the symbol "BNC," and the CUSIP numbers are unchanged. A companion press release disclosed that the board chose the name after running an advisory public vote on X over five days; 5,799 votes were cast across four shortlisted names, with "BNB Standard" receiving approximately 47%.
