ChargePoint Cuts 10% of Workforce, Loses Revenue Chief
Distressed
Company Background
ChargePoint Holdings, Inc. designs and sells networked EV charging hardware, software, and subscription services across North America and Europe. Founded in 2007, it operates one of the largest charging networks globally, with access to more than 1.4 million public and private ports. With a market capitalisation of approximately $142 million, the company has posted uninterrupted GAAP net losses, totalling $220 million in the fiscal year ended January 31, 2026 and $43 million in the following quarter alone.
After years of heavy cash consumption, management has been executing an operational reset. Revenue returned to modest year-over-year growth in the second half of fiscal 2026, and GAAP gross margin expanded from 24% to 31% over the same period, driven largely by subscription revenue mix. But losses have continued: total stockholders' equity turned negative to a deficit of $9.1 million as of April 30, 2026, down from positive $21.3 million just one quarter prior, and the accumulated deficit stood at $2.15 billion.
In November 2025, ChargePoint completed a privately negotiated exchange that retired $328.6 million in capitalized principal amount of its 7.00%/8.50% convertible PIK toggle notes due 2028 in exchange for a new $186.5 million senior secured term loan, $25 million in cash paid to note holders, and warrants. The surviving term loan bears a fixed rate of 12% per annum, matures January 31, 2030, and requires the company to maintain minimum liquidity of $25 million, tested monthly.
What Was Disclosed
A reorganization implemented July 29, 2026 reduces ChargePoint's global workforce by approximately 10%. The company estimates aggregate restructuring costs of approximately $6 million, consisting primarily of severance and employee benefits, with facility-related costs also included. Those charges are expected to be incurred primarily across the second and third quarters of fiscal year 2027 — the quarters ending July 31 and October 31, 2026 — and management expects the reorganization to be complete by the end of the third quarter. The filing notes that actual costs may differ materially from estimates depending on local law requirements across multiple jurisdictions.
