Company Background

CO2 Energy Transition Corp. (Nasdaq: NOEM) is a Houston-based SPAC with an approximate market cap of $115 million, formed to acquire businesses in the energy transition sector. The blank-check company has been racing against its own clock: it has twice tapped its sponsor for $229,700 convertible promissory notes — one in May and one in July — simply to buy monthly extensions for completing a deal.

At its Annual Meeting on July 21, 2026, shareholders approved a further extension of the business combination deadline, now on a month-to-month basis through June 22, 2027. The vote came at a steep cost: 5,869,285 shares were tendered for redemption, shrinking the monthly extension payment the company must fund to $30,921.45 per month. The two sponsor notes together total $459,400, both convertible into sponsor units at $10.00 per unit.

On July 17, 2026 — four days before the annual meeting — the company announced a non-binding Letter of Intent with an unnamed Texas-based oil-and-gas company, framed around recovering lithium and strontium from subsurface brines for domestic critical minerals and defense applications. The parties set September 16, 2026 as the deadline to execute definitive agreements, unless mutually extended.

What Was Disclosed

Brady Rodgers resigned as President, Chief Executive Officer, and director on July 27, 2026. The filing states the resignation was not due to a disagreement as to the company's operations, policies, or practices. No reason for the departure is given, and no external successor was named.
