Company Background

Humacyte is a Durham, North Carolina biotechnology company that develops bioengineered, acellular tissue-engineered vessels — off-the-shelf human vascular conduits requiring no immunosuppression. Its first FDA-approved product, Symvess, received Biologics License Application approval in December 2024 for extremity vascular trauma repair. The company commenced its U.S. commercial launch in early 2025.

Commercial uptake has been slow. Humacyte reported approximately $2.0 million in total revenue for the full year ended December 31, 2025, including $1.4 million in product revenue from 61 Symvess unit sales. For the nine months ended September 30, 2025, the operating loss was $77.3 million. The accumulated deficit stood at approximately $702 million as of September 30, 2025. The company has financed operations through a series of equity offerings and, in December 2025, entered into a $40 million senior secured term loan from Avenue Venture Opportunities Fund II with a maturity of December 1, 2029.

The scientific pipeline includes a Phase 3 supplemental BLA program for dialysis access (targeting a filing in the second half of 2026) and a planned first-in-human coronary tissue engineered vessel study. A risk factor disclosure from March 2026 noted that the CABG clinical trial was on an FDA clinical hold pending batch testing data for the smaller-diameter vessel.

Nasdaq notified Humacyte on July 31, 2026 that the stock had closed below the $1.00 minimum bid price for 30 consecutive business days ended July 30, 2026, placing the company in violation of Nasdaq Listing Rule 5450(a)(1). Under Nasdaq Listing Rule 5810(c)(3)(A), the company has 180 calendar days — until January 27, 2027 — to restore compliance by sustaining a closing bid price at or above $1.00 for at least 10 consecutive business days. The notice has no immediate effect on the listing of the common stock, which continues to trade on the Nasdaq Global Select Market under the symbol HUMA.
